• Performance and uptime of partner infrastructure

3.2 Your Responsibility

You acknowledge and agree that you are responsible for:

4. Intellectual Property Rights

• Custom code and scripts
• AI prompts and system designs
• Software architecture and implementations
• Documentation and guides
• Logos, trademarks, and branding

are owned by Employee Number Zero LLC and are protected by United States and international intellectual property laws.

4.2 Prohibited Activities

You may NOT:

• Redistribute, resell, or commercialize our workflows, tools, or products
• Copy, modify, or create derivative works of our proprietary code
• Reverse engineer or attempt to extract source code
• Remove or alter any copyright, trademark, or proprietary notices
• Share purchased workflows or products with unauthorized users
• Use our intellectual property to create competing products or services
• Claim ownership of our work or present it as your own

4.3 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our services for your internal business purposes only. This license does not include any right to redistribute or commercialize our technologies.

Due to the digital nature of our products (workflows, software, tools), refunds are evaluated on a case-by-case basis. Please contact info@emp0.com within 14 days of purchase to request a refund.

7. Disclaimers and Limitations of Liability

7.1 No Warranties

We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• Our services will be uninterrupted, secure, or error-free
• Results obtained from our services will be accurate or reliable
• Third-party integrations will function as expected
• Defects will be corrected

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMP0 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use our services
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on our services
• Failures or errors in third-party services we integrate
• Any other matter relating to our services

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless EMP0, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our services.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court to protect intellectual property rights.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EMP0 regarding your use of our services and supersede all prior agreements and understandings.
